These Terms are an agreement between you (the business or person subscribing) and Profitpin LLC (“Profitpin LLC”, “we”, “us”). They cover the getsaleledger.com website, the SaleLedger Windows application (“the App”), the license service that confirms your subscription, and support. By starting a subscription, entering a license key, or using the App, you agree to these Terms and to the Privacy Policy.
SaleLedger is intended for businesses. You confirm that you are at least 18 and are subscribing on behalf of a business you are authorized to bind.
Trial eligibility. One trial per account and product. Restoring access or reinstalling does not restart or extend the original trial. Existing paid accounts and prior subscription trials do not receive another trial through this offer.
Optional subscription. You may separately choose a paid subscription at US $129.00 per month plus applicable taxes. That checkout starts paid monthly billing immediately; it does not include a second trial. A paid subscription renews until cancelled. The free trial itself never creates a paid subscription.
Existing customers. Existing subscriptions and card-based trials retain the price, trial period and renewal terms accepted at their original checkout.
Cancellation. No cancellation is needed for a no-card trial. For a paid subscription, use Manage subscription or contact support from your account email. Cancellation stops future renewals; access continues through the paid period.
After expiry. Paid features require an active subscription after the trial ends. Trial expiry does not delete your saved records.
Price changes. Changes to paid subscription prices require at least 30 days' notice by email and apply no earlier than the next renewal after that notice.
Stripe processes optional payments. We do not see or store your card number. See the Refund & cancellation policy.
While your subscription is active (including an active free trial), Profitpin LLC grants your business a limited, non-exclusive, non-transferable license to install and use the App on computers your business controls, for its own trust-account reconciliation. One subscription covers one business.
You may not: resell, sublicense, rent, or provide the App as a service to others; share your license key outside your business; remove notices; reverse engineer, decompile, or circumvent the license check, except where law expressly permits; or use the App to build a competing product.
The App and website are owned by Profitpin LLC and protected by copyright. Your data is yours (see section 5). We may update the App at any time; some updates may be required to keep the App working with Auction Flex, QuickBooks, or bank file formats.
SaleLedger compares the records you give it and reports differences. It does not: file or submit anything to any state board or agency; certify that your account is compliant; give accounting, legal, or tax advice; or replace the review of a qualified bookkeeper or accountant.
The results depend entirely on the files and figures you enter (for example, the opening balance and which auctions you include). Consignors are matched between files by name; a name spelled differently in two files will be reported as unmatched rather than guessed. An “in balance” result means the records you provided agree with each other, not that every legal requirement has been met.
You remain solely responsible for maintaining your trust account, for the accuracy of your records, and for compliance with the laws and rules that apply to your business, including state auctioneer trust-accounting rules.
The App processes your settlement exports, QuickBooks files, and bank statements on your own computer and does not upload them to us or anyone else. Reports and history are saved locally on that computer. Roughly every six hours the App sends your license key, and nothing else, to our license service to confirm the subscription is active; if you are offline it keeps working for seven days on the last confirmation. The Privacy Policy describes exactly what we collect at checkout and in support.
Because your data lives on your computer, backing it up and protecting that computer is your responsibility.
THE APP, WEBSITE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE APP WILL DETECT EVERY DISCREPANCY, BE ERROR-FREE, OR WORK WITH EVERY EXPORT OR STATEMENT FORMAT. Some jurisdictions do not allow certain disclaimers, so some of this may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REGULATORY FINES OR PENALTIES, LOSS OF FUNDS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE APP OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. PROFITPIN LLC'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limits, so some may not apply to you.
Support is by email at support@getsaleledger.com, in English, during US business hours, on a best-effort basis. We aim to answer within one business day. Support covers installing and using the App and understanding its reports; it does not include bookkeeping, reconciling your accounts for you, or advice about your legal obligations.
We may release updates that add, change, or remove features. Some updates are required for the App to keep working (for example, when Auction Flex, QuickBooks, or a bank changes an export format). We don't promise that any particular feature will remain available.
SaleLedger reads files produced by Auction Flex, HiBid, QuickBooks, and your bank. Those products belong to their owners, are governed by their own terms, and may change their export formats at any time. Profitpin LLC is not affiliated with, endorsed by, or responsible for them. Payments are processed by Stripe under Stripe's terms, and where Stripe acts as merchant of record for your purchase, Stripe's purchase terms also apply to the transaction.
You agree not to use the App or website to violate any law; to interfere with or overload the license service; to probe, scan, or test its security without written permission; to share, publish, or automate the use of license keys outside your business; or to misrepresent SaleLedger's output as an audit, certification, or legal opinion.
If you send us suggestions, feature requests, or sample file formats (with amounts and names removed), you agree we may use them to improve SaleLedger without any obligation or payment to you.
You will defend and indemnify Profitpin LLC against third-party claims, fines, and expenses (including reasonable legal fees) arising from your trust-account records, your use of the App in violation of these Terms or the law, or any decision you make based on a report. This does not apply to claims caused by our own breach of these Terms.
You may cancel at any time (section 2). We may suspend or end your access if you materially breach these Terms (for example, sharing keys or circumventing the license check) or if payment is not collected. When a subscription ends, the App stops running new reconciliations; reports and history already saved on your computer remain yours.
We may update these Terms. For material changes we will email the address on your subscription at least 30 days before they take effect. Continuing to use the App after that date means you accept the updated Terms; if you don't, cancel before then. The current version is always at getsaleledger.com/terms.html.
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at support@getsaleledger.com and give us 30 days to resolve it. Any claim that isn't resolved will be brought in the state or federal courts located in Colorado, and you consent to their jurisdiction. Nothing here limits rights you have under the consumer-protection laws of your state that can't be waived.
Electronic communications. You agree that we may send notices, receipts, and legal notices to the email address on your subscription, and that those count as written notice.
Availability. SaleLedger is offered to businesses in the United States. Using it elsewhere is at your own risk and subject to local law, including export-control and sanctions rules.
Force majeure. Neither of us is liable for delays or failures caused by events outside reasonable control, such as outages at Stripe, Render, GitHub, or Microsoft, internet failures, or acts of government.
Assignment. You may not transfer your subscription without our consent. We may assign these Terms to a successor that takes over SaleLedger, and will tell you if we do.
Entire agreement; severability; waiver. These Terms, the Privacy Policy, and the Refund & cancellation policy are the whole agreement between us about SaleLedger and replace any earlier understanding. If a court finds part of them unenforceable, the rest still applies. Not enforcing a term once doesn't waive it later.
Survival. Sections 4, 5, 6, 7, 12, 15, and 16 survive the end of your subscription.
No third-party beneficiaries. These Terms are for you and Profitpin LLC only.
